1、General Terms & Conditions1.DeHeng Civil Code N.V. (“DCC”) is a public limited liability company established under Dutch law on May 20th, 2005 for thepurpose of carrying on a notarial practice and also to sponsor academic research and education in the field of notarial law. Itsbusiness is also condu

2、cted through persons engaged by DCC in the performance of the assignments of its clients.2.All client assignments, both with regard to services and the delivery of goods, shall be considered to have been given toDCC as an organization, even if it is the express or implicit intent that an assignment

3、will be performed by a specific person. Theoperation of Section 7:404 of the Dutch Civil Code, which addresses the last mentioned case, the operation of Section 7:407subsection 2 of the Dutch Civil Code, which creates joint or several liability in those cases in which an assignment is given to twoor

4、 more persons, and the operation of Section 7: 409 of the Dutch Civil Code, in particular with regard to heirs, are excluded.3.If, in the context of the performance of an assignment of a client, an event occurs which leads to liability, then such liabilityshall be limited to the amount or amounts, t

5、o which the professional liability insurance taken out by DCC provides coverageincluding the deductible which DCC carries in connection with such insurance. Such event includes a failure to act.If damage iscaused to persons or property, through or in connection with the performance of an assignment

6、of a client or otherwise, for whichDCC is liable, then the liability will be limited to the amount or amounts to which the third party indemnity insurance taken out byDCC provides coverage, including the deductible which DCC carries in connection with the insurance. In the event and to theextent tha

7、t no monies are paid out under the liability insurance for whatever reason, any and all liability of DCC shall be limited tofive times the amount paid in the relevant calendar year by a client for that assignment, but only up to a maximum of EUR130,000. This limitation does not apply to loss or dama

8、ge resulting from deliberately reckless or intentional misconduct on thepart of DCC.4.It is possible that persons or legal entities engaged in connection with the performance of an assignment of a client maywish to limit their liability in that regard. DCC proceeds from the assumption and here by st

9、ipulates that all assignments given to itby clients include the authority to accept such a limitation of liability also on behalf of those clients.5.If the performance of an assignment of a client entails the engagement of a person or legal entity residing or establishedoutside the Netherlands, who

10、has no connection to DCC and is not involved in a co-operation entered into by DCC, DCC shall notbe liable for failures of such person in connection with its services in the context of the performance of the assignment.6.The relationship between DCC and its clients will be governed by Dutch law. No

11、claim can be made unless litigation iscommenced in the competent courts within one year of discovery thereof. In relation to disputes regarding the legal relationshipwith and / or the services provided by a (candidate) civil-law notary of DCC the Notarial Complaints and Dispute Regulation (inDutch:

12、“Klachten- en Geschillenregeling Notariaat”) is applicable, Also refer to www.knb.nl orwww.degeschillencommissie.nl. Ifthe client does not call on the Notarial Complaints and Dispute Regulation, any disputes regarding the legal relationship with and /or the services provided by a (candidate) civil-

13、law notary will be settled by the competent civil court in The Hague.7.The notary adheres to all existing rules of the professional code of conduct. An explanation of these rules can be found in abrochure, prepared by the Royal Dutch Association of Civil-law Notaries (KNB) in consultation with the C

14、onsumer association(Consumentenbond) and the Home Ownership Association (Vereniging Eigen Huis) and named Rules for notary and consumer(Spelregels voor notaris en consument). This brochure can be found at www.knb.nl and provided upon request.8.Not only DCC, but also all those who are involved in the

15、 performance of any assignment of a client, can invoke theseGeneral Terms & Conditions. The same applies to former partners or associates including their respective heirs, if they are heldliable after they have terminated their practice with DCC.9.These General Terms & Conditions are also applicable

16、 to supplemental and further assignments of clients. They areavailable in the Dutch and English languages. In the case of any discrepancy as to the contents and purport of these conditions,the Dutch text will prevail.10.11.Costs paid for by DCC on behalf of the client shall be charged separately unl

17、ess agreed otherwise.All amounts including but not limited to travel and other expenses are exclusive of VAT.12.All fees will be subject to a surcharge in case of: assignments or instructions with an international dimension; billable hours made outside business hours (business days in the relevant t

18、ime zone from 08.00 20.00 hrs) or; when a high profile matter has to be addressed. For each of these circumstances the rates can be increased with 20% on ourstandard rates. The increase will be calculated over the entire net amount.13.If DCC fees amount to EUR 5,000 or more, the client may choose fo

19、r direct debit (in Dutch: “automatische incasso”), inwhich case client is entitled to a discount of 2% on the entire net amount of the fees.14.All our invoices are to be paid within 21 days after the date of issuance. Amounts that have not been added to our accountwithin 28 days after this date, are

20、 subject to the calculation of statutory interest as from the 29th day. In the event of judicial andextra judicial collection, the client shall be liable for all costs of collection.15.DCC shall inform its clients in a timely manner and explicitly on the financial consequences of its involvement. DC

21、C shallinform its clients in a timely manner in the event more costs shall be charged than agreed upon. DCC cannot charge the costs ofits activities to another assignment, another part of the assignment or another client than the assignor.16.DCC has to identify clients and in certain situations when

22、 in the opinion of DCC transactions take place or are expected totake place that fall within the scope of the Act on the Prevention of Money Laundering and Terrorist Financing, in Dutch Wet(WWFT), has to report such transactions (e.g. laundering of money, fraud). 25、额扣除已所交保费后的余额。 如在本公司履行客户协议过程中发生的损害均不在公司投保的任何险种的理赔范围内，则公司所承担的赔偿范围仅限于上一会计年度该客户支付给 “德恒海牙公证与律师事务所”的服务费的 5 倍，并最多不超过 13 万欧元。由于本公司蓄意疏忽或有意违规的不当行为造成的损害不受此范围的限制。4.在客户与本公司的协议范围之外，任何参与履行协议的第三方均可向客户要求对其责任义务给予减免。凡此情形下，如客户对该第三方的责任义务准许减免，则“德恒海牙公证与律师事务所”在履行与该客户的协议过程中，根据本条之规定，推定本公司有权代表客户接受同样的责任义务减免。5.如本公司与客户之间协议的履行涉及住

26、所位于荷兰境外的第三方个人或法人组织，且该第三方与本公司并无关联且在该特定服务中与本公司不存在任何合作关系，则本公司没有义务也不得对其服务和过失承担任何法律责任。6.本公司与客户之间的一切法律关系适用荷兰法，一旦发生纠纷，荷兰法院具有排它管辖权。诉讼时效为一年，自发现之日起计算。向不具有管辖权的法院提起的诉讼将视为无效。客户与本公司（候选）民法公证人的法律关系和 /或服务纠纷适用公证人投诉及纠纷管理条例 （荷兰语：“Klachten- en Geschillenregeling Notariaat”） ， 可参见 www.knb.nl 或 www.degeschillencommissie.n

27、l。如果客户不援引公证人投诉及纠纷管理条例，则任何与本公司（候选）民法公证人有关的法律关系和 /或服务纠纷将提交海牙市有管辖权的民事法庭解决。7.公证人将严格遵守其现行的所有职业行为规范。该行为规范的说明请参见由荷兰皇家公证人协会（ KNB）与消费者协会（荷兰语：Consumentenbond）及房主协会（荷兰语：Vereniging Eigen Huis）协商制作的手册，名为“公证人及消费者规则”（荷兰语：Spelregels voor notaris en consument），该手册可在 www.knb.nl 查阅并应要求提供。8.除本公司外，公司团队中任何成员因参与履行公司与客户之间的

28、协议而被客户追究法律责任的，均可援引适用本条款与细则。如本公司前合伙人或前雇员包括其法定继任代表停止在本公司工作后被追究责任，本条款与细则将同样适用。9.本“条款与细则”同样适用于本公司与客户签订的补充协议和其他协议，译有英语，中文和荷兰语三种语言，如有争议，以荷兰语为准。10.在为客户服务过程中发生的一切成本费用，由本公司代客户预先支付的，不计算在服务价格范围内，本公司将另行收费，协议另有规定的除外。11.12.以上涉及的所有金额，均不含增值税。如有以下情况发生，则在原应付费用的基础上加收额外费用： 1） 来自国外客户委托的国际业务； 2） 发生在正常工作小时（工作日的 08:00-20:0

29、0）之外的收费工作时间； 3） 须立即处理的高度紧急事务； 以上情况，每发生一项将增收标准费率的20%；增收额将计入该案件最后的总计收费。13.如本公司对一个案件的总收费预计达到或超过 5000 欧元， 客户可选择直接扣款支付 （荷兰语： “automatische incasso”） , 该情况下客户可在最后总收费金额的基础上享受 2%的折扣。14.本公司的所有发票应在签发后的 21 日内支付。在本公司发票签发后的 28 日内仍未能付款至我公司账户的，本公司将自第 29日起按国家法定利率加收滞纳金。如因此启动司法程序并发生相关费用，则所有费用将由该客户承担。15.本公司应向客户及时并清楚告知其工作范围和收费标准。出现实际收费高于约定收费的情况，本公司应及时通知客户。本公司不得就无关的委托事项或同一委托事项的无关部分向客户收费。也不得向除当事人之外的其它委托人收费。16.如出现特殊情况，且本公司认为该情况属于荷兰 Wet MOT 中规定的非正常交易行为时（如洗钱，欺诈等），本公司有权对客户的身份进行核实确认，并有义务报告相关部门。如您对上述条款和细则有任何疑问，请直接向您在本公司的联系人咨询。DeHeng Civil Code N.V., 注册于荷兰海牙，工商登记号码：24378067。
