1、第八讲：涉外合同的特点和翻译1 教学目的与要求：本讲座旨在让学生了解涉外合同的文体特点，要求学生明确涉外合同 的内容、程式、措辞等，不仅能熟练地翻译和合同，而且能掌握合同写作的条理性、标 准性、严谨性。2教学内容：涉外合同格式、合同措辞用句、习惯用语3.教学重点：格式、措辞、常用句型4教学方法：分析、讲解、讨论5参考资料：教学过程与步骤：Part I:概述涉外合同是指我国企事业单位或个人与外国企事业单位或个人为实施某个特定目的，确 定相互的权利和义务所达成的协议。这种协议在英语中称“Contract或“Agreement。合 同具有法律效力。随着改革开放的深入，涉外合同的课题越来越广，包括产品

2、购销、商业代理、合资经 营、合作开发、工程承包、加工承揽、技术或专利转让、聘请专家、文化交流、劳务输出等。涉外合同属法律性文件，是一种特殊的文体，其内容、程式、措辞等都有一定的要求，必须符合惯例，这往往给不熟悉合同文字的译者带来困难。本讲拟就翻译这类合同的一般性 问题加以讨论。Part II:合同特点解析：1 条理性合同文体最显著的特点就是条理清晰、提纲挈领、工程清楚、一目了然。一般来说，并列的工程具有同等契约效力。因此翻译时必须按原文的体例布局。合同的“第几条可用ArticleArticle 2,Article 3表示也有的用第几章，女口chapter 1,chapter 2,chapter

3、 3条：1.2.3.款：1.11.2项：a.b.c.表示。条、款、项的表示方法通常如下：1.3也有的是这样表示的：条：1.2.3.款：abciii项：iii无论采用那种条、款、项的表示法，其原那么是，纲目和条款的符号结构必须始终一致。2标准性涉外合同的标准性可表达在以下两个方面：2.1结构与格式相对固定要翻译涉外合同，首先应对合同的根本结构和格式做到心中有数。涉外合同的结构虽因交易性质或条件不尽相同而有繁简之分，但以力求简明、完整为 原那么。较完整的涉外合同通常由四项构成：1.标题2.前文 一般包括订约时间、订约地点、订约当事人、订约缘由。3.正文 一般包括定义条款、双方当事人的权利与义务、合

4、同的效期、合同的终止、合同的转 让、合同的修改、不可抗力、仲裁、适用法律等。4.结尾条款 一般包括合同文字效力、份数、附件等未尽事宜及双方代表签字。合同文字，为了传达某种“标准信息，往往句式都相仿，尤其是各种涉外合同的前文 几乎都大同小异，同业见之，照此办理，译文不必、也不可标新立异。因为这种格式 沿用已久，已不仅是程式上的要求，而且也是出于达意上的需要。请看下面的例子：例1Sales AgreementThe agreement,(is)madein Beijing this eighth day of August1993 by ABCTrading Co.,Ltd.,aChinese C

13、有关法律的规定，共同成立一家合作经营企业简称“合作企业上例“前文没有签约日期。合同签订的日期说明该合同生效的时间。合同的日期可 签写在前文，也可签写在结尾。涉外合同对这两种情况在法律意义上有所区别。如果日期签写于合同前文，在法律上将视此日期为订约日期，亦即合同生效日期。如日期签写于合同结尾，又可分两种情况，一是合同双方当事人在一起会签，那么该日期为合同生效日期；二是合同双方当事人不在一起，一方签署后再寄送另一方签，那么以后一方签署日期为合同生效日期。有时，为了便于涉外经济活动，提高办事效率，公司、企业间还经常使用格式合同。例如：MODEL CONTRACTCon tract No._ Date

19、原那么上要求前后 统一。合同文字，沿用已久，约定俗成，其中有许多词语都已有习惯的译法，熟悉这套词语,无疑有助于提高翻译涉外合同的效率和质量。例如：Party A/Party B甲方/乙方Side A/Side Bthe First Party/the Seco nd甲方/乙方Partythe Party of the first Part/the甲方/乙方Party of the sec ond Part丙方/第三方the Third Party当事人the Party当事人一方one Party双方both Parties双方当事人/各方the Parties有关方Party concern

24、his orderexecute=deal with;carry outthe same=the order referred to除此之外，为了指代明确，合同还常常使用一些副词+介词的组合词。例如here in after，herein，hereto，herewith，here un der，hereof，“hereby，“whereby等。这类词的用法，请参照第四章“涉外文书的翻译原那么。3.严谨性合同属法律性文献，明确规定当事人双方或各方 的权利与义务，行文措辞都必须滴 水不漏。如有过失，小那么带来不便，重那么造成不良影响，或引起经济纠纷。因此，我们在翻译涉外合同时，应该认真对待，决不可

25、掉以轻心。在翻译之前，要仔细分析原文的词句结构 和逻辑关系，表达时力求简明、清晰，防止歧义，防止漏洞。如何是译文严谨，可以从以下 几个方面入手：一 注意的and/or的译法为使行文严谨、准确，合同文字常常使用and/or这一结构。and/or是一种连接并列结构的省略形式，其具体意义是“A and B+A or B。翻译的常见错误是漏译其中的一局部。这种特殊的结构，根据不同的上下文，可有多种译法。例如：1The carrier is entitled,at port of shipment and/or port of destination,to verify the qua ntity,we

26、ight,measureme nt and contents of the goods as declared bythe shipper.对托运人申报的货物数量、重量、尺码与内容，承运人有权在启运港或目的港也有权在上述两个港口前后核查。一次性核查，2In credit operati ons all parties concerned deal in docume nts and not in goods,servicesan d/or other performa nces to which the docume nts may relate.在信用证事务中，各有关方面处理的是单据，而不是

33、日:the fourteenth of July。在可能的情况下，还应防止使用一些不确定的 时间 副词或介词，女口：“promptly,“immediately,“as soon aspossible,“about August 20。二 注意金额、数字的表示法为了堵塞漏洞，便于核对，防止过失，凡涉及到金额及其它数字，都应坚持大、小 写，即在小写之后，再在括号内用大写重复一次。在大写金额前后习惯上要分别加上“SAY和“ONLY，即分别相当于汉语的“大写和“整。例如：1)You are hereby authorized to draw on Golden Dragon Hardware Co.

37、好相差一倍。例如：The turnover of the company has grow sixfold overthe past ten years.(公司的销售额十年来增加了五倍)又如:Trafficaccident now arefive times less than before.(现在的交通事故比以前 减少了80%。或：.减少了五分之四)英语中可以说“减少了多少倍，但汉语中没有这种说法，故应转换成百分数或分数。另外，英语中表示“倍数的结构很多，但不是凡有“times或“fold等字样都遵循“相差一倍的规律，并且许多书上的说法也不尽统一。因此，翻译涉外合同 或其它重要的文献时，如果

38、涉及到倍数词，严谨的做法就是写出或重复具体的数字。金额的表示，还应特别注意区分不同的货币名称和符号：$可作“美元的符号，但也可作其它货币的符号。为严谨起见，都须在“$前加 上有关国家的货币缩写字母。常见的表示法有：U.S.$HK$ANZ$s$Can$=Uni ted States Dollar=Hong Kong Dollar=Australia n Dollar=New Zeala nd Dollar=Sin gapore Dollar=Canadian Dollar但在“符号之后如有大写缩“是英镑符号，代替“pound,冠在数字之前，写字母，那么指有关国家的货币。如：C=Cyprus po

39、und塞浦路斯镑Ir=Irish pou nd爱尔兰镑M=Maltese pou nd马耳他镑S=Sudanese pound苏丹镑yua n/元，有时在Y前还有RMB那么是Ren mi nbi的缩写，又可是日本货币单位，代替Japanese yen日元。实际使用中，须加以区别，人民币和日元可分别写成RMY,CN/JPY。例如：The un it price If this machi ne is 34652 Japa nese yen Say JPTHOUSAND SIX HUNDRED AND FIFTY TWO ONLY.这种型号的机器每台单价为34652日元大写：叁万肆仟陆佰伍拾贰日元
