7、arties,on a non-exclusive(or exclusive)basis in the Projects.本 MOU 的目的为各方在此项目上非排他性（或排他性的，两者选一个）的提供合作框架和促进合作。Article IIAreas of Cooperation 合作领域2.1 The Parties agree to cooperate in the following areas of activity:各方同意在以下领域进行合作：a.The Parties that will undertake to explore and develop the market and c

8、onstructionof the Projects in the scope of cooperation with terms to be agreed(including but notlimited to any forms of procurement contract for equipment,service or turn-keyprojects).双方将在合作范围内的共同开发市场和进行工程建设（包括但不限于任何形式的设备、服务或总包项目的采购合同）b.Create partnership with state owned and/or private the scope of

9、 cooperationcompanies in other strategic sector/s with potential for job creation,poverty reductionand other developmental objectives;与合作范围内的国有或私营企业在其它战略领域，如创造就业，减少贫困，和其他发展性的目的而合作。c.Establishing business contacts with interested and potential Chinese and other.international companies who are committ

10、ed to contribute to sustainable developmentin the scope of cooperation.与有意向的有潜力的在合作范围内的促进可持续发展的中国和其他国际公司建立商业联系。2.2 The Parties agree that this present cooperation is built on mutual trust among thePartiesand that none of the Parties shall do any acts that undermine the interests of the otherParty3at

11、 all times.Honest and frank disclosures of information of the Projects are requiredthroughout the term of cooperation which is formed of and in relation to this MOUamong the Parties.各方同意目前的合作是基于各方之间的相互信任，各方任何时候都不得做出有损其它方利益的行为.各方在本 MOU 相关的合作过程中都要诚实坦诚交换信息。Article IIIConsultation and Exchange of Inform

12、ation咨询与信息交换3.1 The Parties shall,on a regular basis,keep each other informed of and consultduring theprogress and share information of and relating to the Projects truly and accurately.各方应定期就与有关项目有关的信息真实且准确地进行通知、商讨和信息共享。3.2 Consultation and exchange of information and documents under this Article I

13、IIshall bewithout prejudice to arrangements according to which certain information anddocuments may be required to be maintained confidential and being of restrictedcharacter.本条款下的对信息和文件的商讨和交换均不影响任何关于保密和限制性信息和文件的保密要求。3.3 Each of the Parties shall at any time that deemed appropriate to request andcon

14、vene.meetings for reporting and/or reviewing the progress of activities being carried outunder this present MOU and for planning and implementing future activities.各方应在任何被认为恰当的时候，要求召开会议，汇报和/或回顾根据本 MOU所开展活动的进展，并计划和实施未来的活动。3.4 The Parties may invite technical teams to attend meetings with the scope of

15、cooperationgovernment officials for negotiations of the Projects and implementation.Invitationsshall be made in reasonable time(with one month prior notice)and take into accountof the work schedules of the Parties.各方可以邀请技术团队参加与合作范围内的政府的会议来商讨项目和实施。邀请应提前做好（提前一个月）并要考虑工作日程。Article IVImplementation of th

16、e MOU本 MOU 的实施4.1 In order to implement the specific activities envisioned hereunder,the Parties shall4conclude transaction agreements,cost-sharing agreements etc.which shall specify thescope of work and costs or expenses,sales revenue or profit relating tothe activityand how they will to be shared

17、and/or borne by the Parties.The cost-sharingagreements shall specify in detail the expenses need to be invested during the wholeprocess of the Projects,including but not limited to the preparation,operation andfinalization of the Projects.为了实施下文约定的具体行动，各方应签订交易协议、费用共担协议等，明确与上述具体行动有关的工作范围、成本、销售收入或利润及其

18、如何分配和承担。成本共担协议应明确项目全程所投入的详细成本，包括但不限于准备、运营直至终止。4.2 The costs of public relations activities relating to this MOU,that are not otherwiseaddressed by a specific cost-sharing agreement concluded hereunder,will be theresponsibility of each party independently.本 MOU 下公共关系活动的费用，如果没有签署的协议规定明确哪方承担，应由.各方独自承担。

19、4.3 The Parties have no intention to form any partnership,agency or authorizedrepresentativerelationship among them and no such relationships are to be formed by virtue of thisMOU.None of the Parties shall enter into any contract or commitment on behalf ofthe other Party(ies)The Parties shall be sol

20、ely responsible for making all payments toand on behalf of its own account,as provided under this MOU and/or cost-sharingagreements concluded hereunder.各方之间无意设立任何合伙、代理或授权代表关系，本 MOU 不设立上述关系。任何一方均不应代表其他方签署任何合同或作出承诺，只能代表自身支付本MOU 项下或成本共担协议项下的款项。4.4 Each Party shall be responsible for its own acts and om

21、issions in connection withthis MOUand its implementation.各方应对本 MOU 和实施中自己的行为或义务负责。Article VUse of Name and Logo etc.名字或商标等的使用5.1 None of the Parties shall use the name,logo,trade names or trademarks of theother Partiesor its subsidiaries,and/or affiliates,or any abbreviation of the aforesaid,for wha

22、teverpurposes and in whatever manners,whether or not it is in connection with its businessor otherwise,unless express prior written approval of the other Parties are obtained ineach case of use with terms to be agreed.除 非 按 照 约 定 经 一 方 事 先 书 面 允 许，任 何 一 方 不 得 为 任；5.2Bothpartiesacknowledg；scopeofcoop

23、erationandtha；双方都熟悉合作范围内的国家的动态政治环境，各方都；ArticleVI；Duration,Termination,Mod；有效期，终止与修改；6.1Theproposedcooperatio；periodofon除非按照约定经一方事先书面允许，任何一方不得为任何目的、以任何形式使用.其它方和/或其子公司、附属公司的名称、标识、商号或商标，不论该使用行为是否与其自身业务有关。5.2 Both parties acknowledge that they are familiar with dynamic politicalenvironment in thescope o

24、f cooperation and that none of the Parties shall be associated,whether directlyor indirectly and in whatever manner,with any political or sectarian causes in thescope of cooperation.If any Party did have any such association and/or causes in thescope of cooperation,that Party shall inform the other

25、Parties immediately withoutdelay.The Parties hereby agree that when one Party has any political associationand/or causes in the scope of cooperation,this shall be a legitimate reason for earlytermination,without compensation,by the other Parties of this MOU and of all othertransaction agreements,cos

26、t-sharing agreements etc.双方都熟悉合作范围内的国家的动态政治环境，各方都没有直接或间接或以任何形式，与合作范围内的的政治或宗派事件相关联。如果任何一方有关联，该方应立即通知其他方。各方同意当其中一方与合作范围内的的政治或宗派事件相关联，本 MOU 的其他方可视为提前终止本 MOU、其他贸易协议或成本共担协议等的正当理由，并无赔偿责任。Article VIDuration,Termination,Modification有效期，终止与修改6.1 The proposed cooperation under this MOU is exclusive and shall

27、have duration ofan initialperiod of one(1)year,commencing _(dates)unless early termination accordingto clause 5.2 above or byeither Party upon at least two(2)months prior notice inwriting to the other Parties.The Parties may agree to extend the term of this MOU fora subsequent period(s)up to three(3

28、)years,unless otherwise mutually agreed inwriting.本 MOU 项下预期的合作应是排他的，最初期限应为 1 年，自_起，除非根据第 5.2 条提前终止或任何一方提前至少两个月书面通知终止本 MOU。各方可以同意本 MOU 到期后继续顺延，最多顺延 3 年，除非各方另行书面约定。6.2 In the event of termination of this MOU,the cost-sharing agreements and project.documents concluded pursuant to this MOU shall also b

29、e terminated in accordancewith the termination provision contained in such agreements.In such case,the Partiesshall take all necessary steps to ensure that the activities carried out under the MOU,the cost-sharing agreements and project documents will be promptly and orderlyterminated.如果本 MOU 终止，根据本

30、 MOU 签订的成本共担协议和项目文件应同时按照该等协6议和文件约定的条款予以终止。在此情形下，各方应采取各种必要措施来确保根据本 MOU、成本共担协议和项目文件开展的活动迅速且有序地予以终止。6.3 This MOU shall be amended by mutual agreement in writing and duly executedby theParties.本 MOU 应由各方合意以书面形式作出修改并依约履行。Article VII Notices and Addresses通知与地址7.1 All notices or other communications requir

31、ed or permitted to be given pursuant toor inreference to this MOU shall be in writing and shall be valid and sufficient if deliveredor dispatched by registered mail,courier,personal delivery or fax(email NOTaccepted)as the case may be,to the Party at the address set forth below in this MOUor as from

32、 time to time updated by each Party.Notice given as herein provided shallbe deemed to have been served(i)in the case of personal delivery at the time whenthe notice is left at the addressees address as stated herein below or its last knownaddress;or(ii)in the case of delivery by registered mail or c

33、ourier on the seventh(7th)day after posting;or(iii)upon confirmation(as generated by the fax machine)ofcorrect transmission to the recipients fax machine.根据或与本MOU有关的所需要或允许作出的所有通知和其他通讯均应当以书面形式作出，且应当合法且有效地以挂号信、邮寄、私人递送或传真（不接受电子.邮件）形式递送至本 MOU 下文约定的各方地址，或者各方不时更新的其他地址。在下列情形下递送的通知应视为已送达：（1）如果以私人递送的方式，通知到达被

35、ued in accordance to the laws of PeoplesRepublicof China.本 MOU 受中华人民共和国法律管辖。8.3 The Parties shall use their best efforts to enter into friendly negotiation andsettlementamicably of any dispute,controversy or claim arising out of this MOU(the“Dispute”)within Sixty(60)days from the date that one Party

36、 sending requests for such anegotiation.If the Parties amicably settled the Dispute by themselves,they shall enterinto a settlement agreement in writing and to be duly executed by the Parties.If theParties genuinely attempted negotiation but failed to reach any settlement terms,either Party may subm

37、it the Dispute for arbitration as stated herein below.各方应在一方发出要求协商的请求之日起 60 日内，尽各方最大努力进行友好协商和解决因本 MOU 引起的任何纠纷、异议或索赔（“争议”）。如各方自行友善解决争议，各方应签订书面的解决协议并依约履行。如果各方确实已尽力协商但未达成任何解决方案，任何一方可以就争议按照下述方式提起仲裁。8.4 Any dispute,controversy or claim among the Parties arising out of this MOUwhich is notsettled amicably

38、 in accordance with the foregoing paragraph shall be referred toarbitration under the UNCITRAL Arbitration Rules then in force.The arbitral tribunal.shall have no authority to award punitive damages.The Parties shall be bound by anyarbitration award rendered as a result of such arbitration as the fi

39、nal adjudication ofany such controversy,claim or dispute.The Parties further agree the followings:各方之间未能按照前述方式友好解决的任何纠纷、异议或索赔，应当根据彼时有效的联合国国际贸易法委员会仲裁规则进行仲裁。仲裁庭无权判处惩罚性赔偿。各方应受经上述仲裁所作出的任何仲裁裁决的约束，视其为任何纠纷、异议或索赔的终局裁决。各方进一步同意：(a)The place of arbitration shall be at Beijing.(b)The language to be used in the

40、arbitral proceedings shall be in English language.仲裁中使用的语言应为英语。8.5 This MOU is prepared in English and Chinese.In case of any discrepanciescontainedbetween the English and Chinese versions,the English version shall prevail.本 MOU应为中英文版本。如果中英文版本有差异，以英文版本为准。Article IX Miscellaneous 其他条款89.This MOU and

41、any related co-financing agreements(if any)and project documents(if any)comprise the complete understanding of the Parties in respect of the subjectmatter in this MOU and supersede all prior agreements(whether written or oral)relating to the same subject matter.Failure by either Party to enforce a p

42、rovision ofthis MOU shall not constitute a waiver of that or any other provision of this MOU.The invalidity or unenforceability of any provision of this MOU shall not affect thevalidity or enforceability of any other provision of the MOU.本 MOU 和任何相关的联合融资协议（如有）和项目文件（如有）构成各方在本MOU 项下之事项的完整约定，并替代与同一事项相关

43、的所有先前的口头或书面协议。任何一方未执行本 MOU 中的某一规定并不意味着其对该条款或其他条款的弃权。本 MOU 的某一条款无效和不可执行并不影响其它条款的有效性和可执行性。Article X Entry into Force 生效10.This MOU may be signed in counterparts,each of which shall be deemed an.original andboth of which duly executed shall constitute one entire document,and shall enter intoforce and e
